Welcome to the My Musawo Services Terms of Service (this "Agreement"). Prio Medical Limited owns and operates the My Musawo Services (the “App,” or “Software”) for which you have registered (collectively, "We," "Our," or "My Musawo"). Before utilizing any of the My Musawo Services, please carefully read this Agreement. By installing, accessing or using any My Musawo Services or any materials included in or with the My Musawo Services, You agree to be bound by this Agreement, which is a legally binding contract between My Musawo and You, the End User or Health Expert ("You" or "Your"). This Agreement supplements and does not replace any extra documents for which you may be asked to provide assent as part of the My Musawo Services.

We retain the right to revise, modify, or otherwise alter the terms of this Agreement at any time in our sole discretion. You must examine them regularly to stay up to date on any changes. By using My Musawo Services, you acknowledge that the posting of new or updated Agreement terms constitutes ample and constructive notice to you of any revisions and changes. Continued use of My Musawo Services following any such modifications, or expressly accepting the revised terms of this Agreement when using My Musawo services, shall represent your assent to such changes.

Do not install, use, or access the My Musawo Services if you do not agree to the terms of this Agreement.

For End Users

Software License

My Musawo now offers you a non-exclusive, non-transferable, non-sublicensable, limited right and license to use one copy of the Software for your personal, non-commercial use on a single device unit, unless otherwise provided in the Software documentation. The rights provided in this Agreement are conditional on your compliance with this Agreement. The Software is licensed to you, and you agree that no title or ownership in the Software is being transferred or assigned and that this Agreement is not to be considered as a sale of any rights in the Software.

Service License

My Musawo now provides you with a non-exclusive, non-transferable, non-sublicensable, limited right and license to use the Services as supplied by My Musawo for your personal, non-commercial use, in the manner authorized by this Agreement. The rights provided in this Agreement are conditional on your compliance with this Agreement.

License Term

The duration of your licenses under this Agreement will begin on the day you accept this Agreement and install or otherwise use the Software and/or Services and will terminate on the sooner of your disposal of the Software and/or Services or My Musawo's termination of this Agreement. If you attempt to circumvent any technical protection measures used in connection with the Software and/or Services, or if you otherwise use the Software and/or Services in violation of the provisions of this Agreement, your license will be terminated immediately.

General License Conditions

You agree not to

utilize the My Musawo Services commercially
without My Musawo's express prior written consent or as outlined in this Agreement, you may not distribute, lease, license, sell, rent, lend, convey, or otherwise transfer or assign the My Musawo Services, any copies thereof, or any passwords or usernames of My Musawo Services.
create a copy of the My Musawo Services or any portion of them, including but not limited to Software (unless as expressly permitted above);
make the My Musawo Services available to the public or on a network for numerous users to use or download;
usage or install the My Musawo Services (or allow others to do so) on a network, for online use, or on more than one device unit at the same time, unless otherwise explicitly provided by the My Musawo Services or this Agreement;
use or replicate the My Musawo Services at any other location-based site; granted, however, that My Musawo may supply you with a separate site licensing agreement to make the My Musawo Services available for commercial use.
in whole or in part, reverse engineer, translate, disassemble, decompile, create derivative works based on, or otherwise change the My Musawo Services;
remove, conceal, or change any copyright, trademark, or other proprietary rights notices, markings, or labels contained on or within the My Musawo Services, and falsify or delete any author attributions, legal notices, or other labels indicating the origin or source of the material.
transport, export, or re-export (directly or indirectly) into any jurisdiction prohibited from receiving such My Musawo Services by any U.S. or other export laws or associated regulations, or otherwise violate such laws or regulations, as amended from time to time;
scrape, construct databases, or make other persistent copies of material supplied by My Musawo Services

The My Musawo Services may incorporate methods to control access, prohibit unauthorized copying, or otherwise seek to prevent anybody from exceeding the limited rights and permissions granted under this Agreement. To access online services and obtain updates and patches, only My Musawo Services with a valid license may be used. You are not permitted to interfere with such access control mechanisms or to deactivate or bypass such security features. The My Musawo Services will not work correctly if you disable or otherwise interfere with the technological protective mechanisms.
This license grant to My Musawo, as well as the above waiver of any relevant moral rights, will survive the expiration of this Agreement. To use the My Musawo Services or its internet-based features, authenticate the Software, or execute other operations, an internet connection may be required. Certain aspects of the My Musawo Services may require you to have and maintain (a) an acceptable internet connection and/or (b) a valid and active account with an online service, as specified in the My Musawo Services documentation. You understand and accept that third-party data transfer costs may apply depending on your data plan when using the My Musawo Services. For further information, please contact your carrier. If such accounts are not maintained, the My Musawo Services or some components of the My Musawo Services may not work or may cease to function effectively, in whole or in part.

Restriction

You shall not use the My Musawo Services to:

Post, publish or transmit any content that violates or infringes in any way on the rights of others, that is unlawful, threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, violent, vulgar, obscene, profane, hateful, or racially or ethnically or otherwise objectionable, such as images or content that is obscene, sexually explicit or contains nudity, indecent, defamatory,
Encourage, engage in criminal activities that might result in civil responsibility, or otherwise violate any law;
Impersonate another person or entity, or fraudulently claim association with another person or entity;
Upload, post, transmit, or otherwise make accessible any content that violates another party's rights, including but not limited to trademark, copyright, and other intellectual property rights.
Transmit or otherwise make accessible on or via My Musawo any content containing software viruses or any other computer code, files intended to disrupt, damage, or restrict the operation of any computer software or hardware or telecommunications equipment;
Use automated programs or "robots" to access, copy, or alter any of the material on this Service;
Denial of service attacks on the servers that host the My Musawo Services;
Breach of any legal responsibility due to a third party, such as a contractual or confidential duty.

For Health Experts

Software License

My Musawo offers you, a non-exclusive license to use the Software for business purposes, subject to compliance with this Agreement. This license to use is non-transferable to the greatest degree authorized by relevant law. You may not decompile, copy, disassemble, reverse engineer, attempt to derive the source code of, alter, or make derivative works of the My Musawo Services or its content (unless as specifically authorized by this license and any other relevant terms, conditions, or use guidelines). You are responsible for keeping your passwords, login name/user-id, and account information secure at all times, and you are personally liable for any use of the My Musawo Services by anybody using your login information and password, whether with or without your consent.

You hereby affirm and warrant that you will:

Be precise (where they offer counseling
When expressing your thoughts, be real, productive, and polite.
You must follow all relevant laws in the country from which you are posting or accessing the My Musawo Services.

Intellectual Property

My Musawo, its suppliers, and licensors own all Intellectual Property Rights in and to the Software and its entire contents, features, and functionality (including but not limited to all information, software, code, algorithms, database, text, displays, images, video, and audio, and the design, selection, and arrangement thereof). All rights not explicitly granted to you by My Musawo are reserved.

You reserve all rights in and to your intellectual property that are not expressly transferred to My Musawo in this Agreement.

Arrangement

My Musawo will include you and healthcare services on the App, allowing end-users to find you and details about the services they require. You may use the App to provide defined facilities and medical advice to end-users.

Transfer of Rights

My Musawo gives to you, and you accept, a non-exclusive, non-transferable, restricted permission to access and use the My Musawo Services for the duration of the Agreement.

The above right does not include the following: (a) making My Musawo, in whole or in part, available to any other person, entity, or business; (b) modifying the contents of My Musawo or using such content for any commercial purpose, or any public display, performance, sale, or rental other than that contemplated in the Agreement; (c) copying, reverse engineering, decompiling, or disassembling My Musawo, in whole or in part, or otherwise

No Third-Party Access

Without My Musawo's prior written authorization, you will not allow any third person to access or use the My Musawo Services. You will not grant any third party access to the account or transmit information to users over the App. If access to or use of the My Musawo Services is required, you will quickly notify My Musawo of any order or demand for compelled disclosure of health information.

Provided Content

My Musawo does not claim ownership of any contents made accessible by you via the My Musawo Services. Such items may be incorporated into the Service in whole, in part, or in a modified manner at My Musawo's sole discretion. Concerning any materials submitted or made available for inclusion on the App, you grant My Musawo a perpetual, terminable upon the termination of the contractual relationship, worldwide, royalty-free, and non-exclusive license to use, copy, distribute, publicly display, modify, create derivative works, and sublicense such materials or any part of such materials (as well as use the name that you submit in connection with such submitted content). You guarantee, warrant, and covenant that any materials given do not comprise anything (including, but not limited to, text, photos, audio, or video) over which they do not have complete authority to grant the license. My Musawo accepts no responsibility and assumes no liability for any uploaded or submitted content by you.

Restriction

You shall not use the My Musawo Services to:

Post, publish or transmit any content that violates or infringes in any way on the rights of others, that is unlawful, threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, violent, vulgar, obscene, profane, hateful, or racially or ethnically or otherwise objectionable, such as images or content that is obscene, sexually explicit or contains nudity, indecent, defamatory,

Breach of any legal responsibility due to a third party, such as a contractual or confidential duty.

Independent Contractor

Nothing in this Agreement may be considered to constitute any connection other than that of independent parties contracting with each other only to carry out the conditions of this Agreement.

General Terms

Warranty

YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT THE LICENSED SOFTWARE AND SERVICES ARE USED AT YOUR SOLE RISK. THE LICENSED SOFTWARE AND ANY SERVICES ARE PROVIDED EXCLUSIVELY "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. MY MUSAWO HEREBY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY REPRESENTATIONS, WARRANTIES, AND CONDITIONS CONCERNING THE LICENSED SOFTWARE AND THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURP MY MUSAWO DISCLAIMS ANY AND ALL LIABILITY AND RESPONSIBILITY ARISING FROM YOUR RELIANCE ON THE LICENSED SOFTWARE AND SERVICES. MY MUSAWO ACCEPTS NO RESPONSIBILITY OR LIABILITY FOR KEEPING THE LICENSED SOFTWARE OR SERVICES UP TO DATE OR COMPLETE. MY MUSAWO MAKES NO WARRANTY THAT THE SERVICE AND ANY LICENSED PRODUCTS WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS IN THE LICENSED SOFTWARE OR SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY MY MUSAWO OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION IF THE LICENSED SOFTWARE OR SERVICES PROVE DEFECTIVE.

Force Majeure

My Musawo shall not be liable for any delay or failure in performance due to acts of God, earthquake, labor disputes, changes in law, regulation or government policy, riots, war, fire, flood, insurrection, sabotage, embargo, epidemics, pandemics, acts or omissions of vendors or suppliers, transportation difficulties, unavailability of interruption or delay in telecommunications or third-party services, failure of third party software or hardware or inability to obtain raw materials, supplies, or power used in or equipment needed. My Musawo is not responsible for server downtime under any circumstances.

Termination

This Agreement may be terminated by any party if:

The other party violates any condition of this Agreement and fails to remedy such violation within ten (10) days after receiving written notice of it;
The other party is the subject of a bankruptcy petition or any other voluntary or involuntary procedure pertaining to insolvency, receivership, liquidation, or composition for the benefit of creditors.

Equitable Remedies

You expressly agree that My Musawo will be irreparably harmed if the terms of this Agreement are not accurately adhered to, and thus you agree that My Musawo shall be entitled, in addition to any other available remedies, to appropriate equitable remedies concerning your breach of any of the terms of this Agreement, without bond, other security, or proof of damages.

Indemnity

You agree to indemnify, defend, and hold harmless My Musawo, its partners, affiliates, contractors, officers, directors, employees, and agents from and against all damages, losses, and expenses arising directly or indirectly from (a) your acts and omissions to act in using the My Musawo Services following the terms of the Agreement; or (b) your breach of this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement on the subject matter and supersedes all previous agreements and representations between the parties.

Severability

If any provision of this Agreement is determined to be unenforceable for any reason, it will be modified only to the extent necessary to make it enforceable, with no effect on the remaining portions of this Agreement.

Waivers

No Party shall be held to have waived any of its rights, powers, or remedies under this Agreement unless such waiver is approved in writing by that Party.

Governing Law

This Agreement will be governed by the laws of Uganda without reference to its choice of law rules. All disputes arising from these Terms will be subject to and resolved by the exclusive jurisdiction of courts in Uganda.
